DRAGON CON, INC. REPLACES DRAGON CON / ACE, INC.

 

Dragon Con will Continue the Agreements With Hotels, Guests and Performers.

 

ATLANTA – July 8, 2013 – The Board of Directors and Shareholders of Dragon Con / ACE, Inc., producer of Dragon*Con, Atlanta’s internationally known pop culture, fantasy and sci-fi convention, have agreed to merge the company into Dragon Con, Inc. (Dragon Con) in a cash-out merger.

 

Led by Pat Henry, David Cody and Robert Dennis, ownership of Dragon Con includes five of the six founding owners of Dragon Con / ACE (the old Dragon Con). The effective date of the merger is July 8, 2013.

 

Edward Kramer, who has not had any role in managing or organizing the convention since 2000, was offered cash for his shares in the old company. Financial terms of the transaction were not disclosed.

 

“This decision only affects the ownership of the old Dragon Con,” said Pat Henry, President and Chief Executive Officer of Dragon Con. “Our members and others who attend Dragon*Con 2013 will experience the same fantastic convention they have come to expect from us.”

 

Dragon Con will continue the agreements with each of the host and overflow hotels associated with the convention as well as all of the guests and performers scheduled to appear at this year’s event, either “as is” or with amendments recognizing Dragon Con as owner.

WOW - I have never been to one but I know that more people over the years have become upset with Kramer's past in relation and his ties to the event. With one of the major issues regarding his financial ties to the event it was supposedly hard to oust him.

 

I would love to know what the financial terms of the deal was.

 

BTW - Simpsons Tapped Out - the length of time to build this boardwalk is ridiculous.

wow is right. Knowing that the Dragon*con share/holdings was Kramer's lone legal funding I wonder how big of a check they had to write to him for those shares, or if they had some other legal arm twisting methods to "entice" him to sell.

 

Either way Im thrilled that they can go into this year's con with that spectre no longer looming over head. It was going to be Story #1 for sure once the con started nearing.

You thinking 6 or 7 digit number, or something even higher?

 

well from previous reports:

 

They even once reportedly offered him $500,000 to divest his ownership stake and go away, to no avail. Kramer owns 31% of the festival as a minority shareholder, and he reportedly pocketed $150,000 from the 2011 DragonCon.

 

So for a guy in his mid 50s, to walk away from say $150k annyally, even if thats another 20-30 years of payouts... it had to be 7 figures, unless the other owners had some way to threaten his stake in the company...

Totally agree that this should help out DC tremendously now that all ties have been severed. I have a feeling though they will be paying Ed at least an even $1 million to go away.

Convicted sex offender, DragonCon co-founder Ed Kramer back in jail

  • Convicted child molester and DragonCon co-founder Ed Kramer is back in jail, having been arrested for allegedly photographing a young boy at a Lawrenceville doctor’s office.

    Kramer was arrested by Lawrenceville Police Department officers on Tuesday, five days after he was accused of taking photos of a boy believed to be seven years old, an incident report said.

    According to the report, officers were dispatched to Gwinnett Pulmonary Group after receiving a call that Kramer, after leaving a doctor’s appointment, remained in the check-out area and was watching the boy.

    “He was later seen watching the child and holding his cell phone in a manner that suggested that he was photographing (the) child,” the report said. “The complainant stated that she observed the flash of the camera and she stated that (Kramer’s) eyes never left the boy.”

    Other staff members also saw the alleged photography, with one woman telling police she saw Kramer “following the victim with his phone held out in front of him, trailing the victim’s movement,” the report said.

    Medical office staff told police they were concerned about Kramer because he’s a registered sex offender who bears the Georgia classification of “sexually dangerous predator” — something the Duluth resident challenged last year in Fulton County Superior Court.

    Kramer pleaded guilty to three counts of child molestation in 2013 and was sentenced to an aggregate of 20 years, with the first five to be served in home confinement. He is no longer on house arrest, but still wears an ankle monitor.

    Kramer, who co-founded DragonCon in 1987, has not been involved with the convention since 2000 when he was arrested for the alleged molestations.

    His prosecution was delayed for years due to constant legal posturing and a litany of medical issues, reportedly ranging from neck pain and hearing issues to emphysema and psoriatic arthritis, Gwinnett County District Attorney Danny Porter previously said.

    In September 2011, Kramer was arrested again after he was found in a Connecticut hotel room with a 14-year-old boy.

    The stipulations of Kramer’s bond prohibited him from having any unsupervised contact with a child under 16 years old and he was extradited to Gwinnett following the arrest.

    Kramer remained part owner of DragonCon until July 2013, when he was bought out by the organization, four months prior to his guilty plea.

    It was not immediately known if the timing was connected to the plea, though many had urged DragonCon to cut ties with the co-founder in the years following his initial arrest.

    Kramer’s bond for the most recent charges is set at $22,200. As of Wednesday afternoon, he remained in jail.
